Terms & Conditions of SCY Membership
Thank you for choosing to become a member of SCY. Our aim is to ensure that you have a positive experience throughout your time in membership with SCY. We also hope you will benefit fully from all available services and opportunities we offer.
By proceeding with the registration process for SCY Membership, you agree to be bound by these terms and conditions. Should you change your mind about joining a refund will only be available if you notify SCY in writing within 14 days of the date of the agreement. No refunds will be issued after this time. By agreeing to these terms and conditions you are also confirming that the information you have given is true and correct.
- Application
- 1.1 These terms and conditions shall apply to the provision of SCY Membership Services by SCY to the Member.
1.2 In the event of conflict between these terms and conditions and any other terms and conditions (of the Member or otherwise), the former shall prevail unless expressly otherwise agreed by SCY in writing.
- Definitions
“Membership” means membership of the official SCY Membership scheme;
“Member” means any individual, firm or corporate body (which expression shall, where the context so admits, include its successors and assigns) who is registered as an official member of the Membership scheme and is entitled to the benefits of Membership, subject to these terms and conditions;
“SCY” means SCY Enterprise Ltd, a private limited company and registered in England and Wales no: 07284459
- Parties
These terms and conditions form the basis of the legal relationship between a Member and SCY.
- Applications for Membership
- 4.1 Membership of SCY is open to any business or organisation either public or private, or individuals in a business environment, regardless of their location.
4.2 Groups of companies. Where a company that forms part of a group of companies successfully applies for Membership, this does not entitle any parent or subsidiary of the company, or other subsidiary of any such parent to become a Member. Each company within such a group shall be required to apply separately for Membership.
- Membership Enrolment
- 5.1 SCY will process Membership applications in order of receipt and warrants that applications will be processed with 7 working days of receipt.
5.2 All Membership materials will be sent to the Member’s registered address. SCY is not responsible for the accuracy of this data and the Member must make sure that their contact information is correct at all times.
- Membership
- 6.1 With effect from the date of Membership registration, SCY shall, in consideration of the Fees being paid in accordance with the Terms of Payment, provide Membership services to the Member.
- 6.2 SCY will use reasonable care and skill to perform the Membership services.
- 6.3 Members are entitled and encouraged to take advantage of the various opportunities SCY offers but there is never any obligation or pressure to use any of the services provided by SCY.
- 6.4 SCY shall use all reasonable endeavours to complete its obligations under these terms and conditions, and time shall be of the essence in the performance of these obligations.
- 6.5 Exclusive Member Benefits. You must be a Member at the time of applying for Member rates on SCY Business Events and SCY Consulting Services.
- 6.6 All Membership benefits are subject to change at any time.
- 6.7 SCY reserves the right to re-brand or re-name the Membership scheme or introduce additional official Membership schemes at any time. Members may at the discretion of SCY be transferred onto any such additional or replacement scheme without prior notice provided always that they shall be entitled to the same or substantially similar benefits under the new scheme as they were entitled to under the scheme of which they are a Member.
- 6.8 Change in Member contact details. If you move address please contact SCY and we will update your details.
6.9 SCY regularly communicates with Members by email, post and telephone. We aim to only approach our Members with information which we believe could be of interest to them. This is an integral part of the Membership and by entering into Membership you agree to be contacted by SCY. The regular communication can be terminated at the Member’s request at any time.
- Code of Membership
Members agree to be bound by the articles of association of SCY and by the code of membership, the code of operation and such other by-laws of SCY as are in force from time to time.
- Disclaimer
- 8.1 SCY gives you no warranty or assurance about any recommendations or referrals we make in respect of third parties and the services they supply. You should satisfy yourself as to the suitability of any such third parties and the services they supply for your purposes. All implied warranties and conditions are excluded, to the maximum extent permitted by law.
8.2 Any agreement between the Member and third parties are strictly between the two parties, and are not the responsibility of SCY.
- Events
- 9.1 All events must be booked and paid for in advance.
- 9.2 Failing to attend an event does not entitle the Member to a refund.
9.3 Refunds can only be accepted if cancellation is made more than 48 hours in advance of an event.
- Membership Fees
- 10.1 You agree to pay an annual payment (Annual Subscription) to SCY, the sum of which is set by SCY and may be subject to annual review and change. You will be advised in writing of any changes no less than 28 days before renewal is due.
- 10.2 Membership is on a rolling annual fee basis from date of registration and is valid for 12 consecutive months. You agree to make a payment which is equal to the Annual Subscription on the date that you make an application to become a member of SCY and annually thereafter. Membership is for a minimum period of 12 months.
10.3 Membership fees correspond to the number of employees in the Member company. SCY reserves the right to cancel or amend a membership if these details provided to SCY are deliberately misleading. It is an expressed term of the Membership agreement that the Member will inform SCY about any changes in the number of employees or other vital aspects of the business. SCY may consider applications for a higher category of membership in individual cases
- Sale Conditions
- 11.1 By purchasing a Membership you acknowledge your acceptance of the terms and conditions of purchase.
- 11.2 Anyone purchasing a Membership on behalf of any other person, firm or corporate body shall be deemed acting with the consent of the Member for whom they have purchased Membership, including acting with the authority to agree to these terms and conditions on behalf of each Member.
- 11.3 SCY shall be entitled to refuse an application from, or cancel the Membership of any Member who does not provide the personal/company details or information that SCY requires to process or maintain their Membership.
- 11.4 If the method of payment provided for Membership fails or is refused (other than as a result of a fault of SCY), the prospective Member shall pay any bank, administration or similar charges incurred by SCY as a result, and Membership will be withdrawn from the Member until the Membership subscription (and any relevant charges) have been paid in full.
- 11.5 On expiry of Membership all rights and benefits of Membership will cease.
11.6 Membership is non-transferable.
- Termination
- 12.1 SCY do not give partial refunds for early cancellation of SCY Membership. Once Membership is taken, it will run its 12 months and naturally expire if the membership is not renewed. You will be invited to renew your membership some weeks prior to the expiry date.

- 12.3 Should you wish to cancel your membership after your renewal fee has been paid, our cancellation policy for membership is as follows: Cancellation within 1 month of renewal: Full refund less a £20 administration charge.
- 12.4 SCY will be entitled to cancel your membership if:
- 12.4.1 any fees including but not limited to the annual subscription fees remain unpaid for a period of 1 month from the date that payment is due;
- 12.4.2 the renewal of the membership is refused by SCY;
- 12.4.3 you (in the opinion of SCY) behave inappropriately towards other members or towards SCY;
- 12.4.4 you (in the opinion of SCY) bring SCY into disrepute;
12.4.5 you breached these terms and conditions
- Third parties
No rights are conferred on any person who is not a party to these terms and conditions.
- Entire agreement
These terms and conditions constitute the entire agreement between the parties and supersede all prior agreements, negotiations, representations and proposals, whether written or oral, concerning the subject matter of the terms and conditions.
- Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales and subject to the exclusive jurisdiction of the courts of England and Wales.
- Assignment
You shall not assign any of your rights or obligations under these terms and conditions without our prior written consent. We shall have the right to assign or otherwise delegate all or any of our rights or obligations under these terms and conditions upon notification to you.
- Errors and Omissions Excepted
Every care is taken to ensure that all information on SCY publications including the website is correct. However there may still be errors and we apologise for any inconvenience that this may cause. If you find an error or omission, please let us know, and we will correct it as soon as possible after verification.
- Additional Terms
- 18.1 SCY shall not have any liability to a Member for a failure to carry out or delay in carrying out its obligations under these terms and conditions caused by any circumstances outside its reasonable control.
- 18.2 SCY reserves the right to change these terms and conditions from time to time and shall publicise any material changes on either or all of: (i) SCY’s main website; (ii) emails to the notified email address of the Member; or (iii) in writing.
18.3 If any of these terms and conditions is determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such terms and conditions shall, to that extent, be severed from the remaining terms and conditions which shall continue to be valid to the fullest extent permitted by applicable laws.
